Project Description:
The European Bank for Reconstruction and Development (the EBRD or the Bank) and the City of Brasov (the City) are developing a major investment representing the construction of a new Regional Emergency Hospital (“REH”) in Brasov (the “Project”). The Project is expected to be, built, financed and operated (facilities management services only) for a specified period of time by a private investor (the “Private Investor”) selected by the Client pursuant to a competitive selection procedure. The City is specifically looking at replacing the existing County Emergency hospital “Spitalul Clinic Judeţean de Urgenţă Braşov” which consists of five buildings in four locations with a new REH (the “Project”) on an identified location in Brasov.
Assignment Description:
EBRD intends to select and contract a consulting company (the Consultant) to assist/advise the City on the preparation, organization and implementation of a tender for the proposed Project (the “Assignment”).
The selected Consultant is expected to provide the following tasks:
– Due Diligence
(Legal, Fiscal/Budgetary, Technical/Operational Review)
– Project Preparation
(Feasibility Study, Risk Analysis/Matrix, Financial Model, Value for Money Analysis, Market Sounding, PPP Structuring, EU grant request support, Tender Strategy, Environmental and Social Assessment, Public Sector Component, Communications Plan, Assessment and compliance with EBRD policies)
– Tender
(Data room, Preparation of Procedures Documents, PPP Contract and its Annexes, Inviting Bidders’ Questions/Comments, Reviewing Bidders’ Comments and Issuing Responses, Preparation of Tender Procedures, Prequalification Process Management, Bidding process management, Evaluation of Bids/Selection of Preferred Bidder, Appeals Process, Formal Approval of Preferred Bidder)
– Closing and Capacity Building

Consultant Selection Procedure: Single stage open competitive selection. Interested firms or groups of firms are invited to submit a Technical and Financial Proposal.
Assignment Start Date and Duration: The Assignment is expected to start in late August 2019 and has an estimated overall duration of 36 months.
Cost Estimate for the Assignment: EUR 1,600,000.00 exclusive of VAT (*Please note this is an EBRD estimate; consultant shall price financial proposals based on their former experience in delivering PPP advisory services to governments)
Funding Source: It is anticipated that the contract will be financed by EBRD’s Special Shareholders Fund. Selection and contracting are subject to the availability of funding.
Eligibility: There are no eligibility restrictions based on the consultant’s country of origin.
Consultant Profile: Corporate Services are required. The Consultant will be a firm or a group of firms with financial, legal and technical expertise. Previous experience in providing advisory services to governments on Facility Management Hospital PPP projects that reached financial close in established markets is essential.
The Consultant’s expert team is expected to include the following key experts (the ‘Key Experts’):
Key Expert 1: Project Team Leader, with:
• University degree in Business Administration, Finance, Project Management, or Health Administration
• Excellent command of English language
• preferably 10+ years of substantial team management practice in complex project management
• preferably strong advisory track record in PPP/concessions:
o at least 1 successful hospital PPP closings, including at least 1 in EU countries
o team leader role on a “hybrid PPP project” will be an important advantage
• Excellent command of English language and command of the Romanian language will be an important advantage.
• Experience in Romania or similar CEE countries would be an important advantage.
Key Expert 2: Lead Transaction Financial Advisor, with:
• University degree in finance, economics or similar
• Extensive expertise in privately financed infrastructure projects (PPP/concession)
• Preferably 5 years of practice in complex infrastructure projects, particularly in project finance PPPs, including:
o Experience in Hospital or similar FM PPP advising the public sector during the procurement process that involved private financing. At least two health PPP projects within the last 10 years.
o Experience in applying ESA 2010 concept in relation with the classification of the assets involved in PPP contracts
o Lead Transaction Financial Advisor on “hybrid PPP project” will be an important advantage
• Excellent command of the English language and command of the Romanian language will be an important advantage
• Experience in Romania or similar CEE countries would be an important advantage
Key Expert 3: International Transaction Lawyer, with:
• University degree in Law
• Lead Transaction Lawyer in at least 3 successful PPP transactions
• Preferably 10 years’ professional experience in advising on PPP transactions
• At least 1 successful hospital FM PPP transactions advising the public sector that has reached financial close in the last 5 years
• Experience on “hybrid PPP project with blended finance” will be an important advantage
• Experience in Romania or similar CEE countries would be an important advantage
Key Expert 4: Local Transaction Lawyer, with:
• University degree in Law in Romania
• excellent command of English and Romanian languages
• Track record experience working in capital project in Romania
• Experience working with the current laws:
o PPP law, the Government Emergency Ordinance no. 39/2018
o Public procurement law – Law 98/2016;
o Concessions of works and services – Law 100/2016;
o Tax Regulations: Law no. 227/2015 on Tax Code (Title IX, Local Taxes and Fees) – subsequently amended and supplemented. and
o Budgetary rules and limitations.
• Experience on “hybrid PPP project with blended finance” will be an important advantage
Key Expert 5: Lead Technical Health Planning Consultant, with:
• University degree in hospital management, public health or similar
• Preferably 10 years’ professional experience as hospital management consultant or hospital manager
• technical advisor/consultant on at least 3 hospital PPPs, including advising on project size, services, equipment and cost
• Experience in Romania or similar CEE countries would be an important advantage
Key Expert 6: Lead Healthcare Design consultant/ARCHITECT and equipment planner, with:
• Degree in architecture and/or civil engineering or similar
• experience in the planning and design of at least two hospitals of more than 200 beds in the last 5 years
• Preferably 10 years of professional experience in equipment planning for tertiary hospitals
• Experience in Romania or similar CEE countries would be an important advantage
Key Expert 7: Hospital FM PPP specialist, with:
• University degree in finance, economics or similar
• Excellent command of the English language. Command of the Romanian language will be an important advantage
• Preferably 5 years’ professional experience or more of practice in complex infrastructure projects, particularly in project finance FM PPPs, including:
o Experience in Hospital FM PPP advising the public sector during the procurement process that involved private financing. At least two health PPP projects within the last 5 years.
o Experience drafting payment mechanism for Hospitals PPPs
• Experience in Romania or similar CEE countries would be an important advantage
Expert 8: Environmental & Social Expert, with:
• Relevant university master’s degree
• Excellent command of the English language; good command of the Romanian language will be an important advantage
• Extensive expertise in enforcing and implementing EBRD’s E&S requirements in the last 5 years
• Preferably 5 years’ professional experience or more in developing and implementing ESIAs and E&S due diligence, stakeholder engagement, public consultation and disclosure in the local context, land acquisition/ resettlement in urban developments; familiarity and expertise with addressing and promoting gender equality / inclusion issues preferred
• Experience in Romania or similar CEE countries would be an important advantage
The Consultant may select and propose other non-key experts to complement the aforementioned list of experts as it will see fit to complete the tasks identified in these ToR. The Consultant will present the profiles put forward and must indicate the rationale for such choice.

Interested Consultants should make themselves familiar with these Standard Templates, Standard Instructions and Conditions of Contract in preparation of their proposals.
1. The Technical Proposal shall be submitted in English electronically via eSelection not later than the Closing Date, as one single PDF file. The technical proposal should not exceed 70 pages excluding the Declaration Form and CVs (Form 1- TP 1 and Form 1 – TP 6).
2. The Financial Proposal (Form 2 – FP 1 and FP2) shall be submitted in English separately by email only to the Bank Contact Person. Consultants are reminded of the requirement to ensure the confidentiality of the Financial Proposals.
A Technical Proposal that contains elements of a financial proposal shall be declared non-responsive.
A Financial proposal submitted together with the technical proposals via e Selection shall be declared non-responsive.

Selection Method and Evaluation Criteria:
1. Technical Proposal Evaluation Criteria
(a) Firm’s previous project experience (at least two assignments) in providing advisory services to governments on Facility Management Hospital PPP projects that reached financial close in established markets (30%)
(b) Quality of the methodology proposed for the Assignment including involvement of local partners with local presence and experience (30%)
(c) CVs of the Key Experts (40%)
The minimum technical score (St) required to pass is 70.
2. Opening of Financial Proposals
After the technical evaluation is completed, only the submissions which score 70 or above of the total marks available for the technical criteria will be eligible to have their financial proposals opened.
3. Combined Technical and Financial Evaluation
The lowest evaluated Financial Proposal (Fm) is given the maximum financial score (Sf) of 100. The formula for determining the financial scores (Sf) of all other Proposals is calculated as follows:
Sf = 100 x Fm/ F, in which “Sf” is the financial score, “Fm” is the lowest evaluated Financial Proposal, and “F” the price of the Proposal under consideration.
Proposals are then ranked according to their combined technical (St) and financial (Sf) scores using the weights (T = 80; F = 20) T + F = 100 as follows: S = St x T% + Sf x F%.
Important Notes:
1. The proposal validity period is 120 days from the deadline date for the receipt of submissions. During this period, the Consultant shall maintain its original Proposal without any change, including the availability of the Experts, the proposed rates and the total price.
2. The selection will be made from the Proposals received in response to this notification only, on the basis of the submission requirements and selection criteria set out in this Procurement Notice. The highest-ranked Consultant will be selected and invited to negotiate the contract, subject to availability of funding.
3. Any updates of and clarifications on this procurement notice shall be announced as updates on this notice, without any other notification. In the event of changes consultants will need to download the updated versions. Consultants are required to periodically check the notice for updates. Failure to take the updates into account while preparing the Proposal may result in disqualification or penalties to the scores in the evaluation.
